Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Phileas website, applications, and related services (collectively, the "Service"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service

Phileas is a local-first search application that connects to sources like your filesystem, mail, or cloud drives and makes them searchable with natural language on your device. We may update, improve, or change features at any time.

Eligibility and Accounts

You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction, to use the Service. Where an account is required (for example, to manage a paid subscription), you are responsible for keeping your credentials secure and for activity that occurs under them.

Plans and Payment

Phileas offers a free tier and paid plans. Paid plans are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge the applicable fees plus any taxes for the term you select.

Subscriptions renew automatically at the end of each billing period at the then-current rate, unless you cancel before renewal. You can cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law, fees are non-refundable.

Free-tier features are limited and offered as-is. We may change the limits, features, or availability of any plan with reasonable notice.

License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the Service for your own internal use. Enterprise customers may have additional usage rights set out in a separate agreement.

Acceptable Use

You agree not to:

• Use the Service to violate any applicable law or the rights of others.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law permits.
• Resell, sublicense, or commercially redistribute the Service without our written permission.
• Interfere with the integrity, performance, or security of the Service or any related infrastructure.
• Use the Service to index, store, or process content you do not have the right to access.

Your Content and Data

You retain all rights to the content you index with Phileas. Because indexed content stays on your device, we do not claim any license to it. You are responsible for the legality and security of the content you choose to index and for complying with the terms of any third-party services you connect.

Third-Party Services

The Service may integrate with third-party services (such as Gmail, Google Drive, or Outlook) under their own terms and privacy policies. We are not responsible for those services or for any changes to their availability or APIs.

Intellectual Property

The Service, including its software, design, and trademarks, is owned by Phileas and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights other than those expressly stated.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that search results will be complete or accurate.

Limitation of Liability

To the fullest extent permitted by law, Phileas and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or one hundred US dollars, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Phileas from any claims, damages, liabilities, and expenses arising out of your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or for any other reason with reasonable notice. Sections that by their nature should survive termination will survive — including license restrictions, disclaimers, limitation of liability, and governing law.

Changes to These Terms

We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of Sweden, without regard to its conflict-of-laws rules. The courts of Stockholm, Sweden have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction. This does not affect any mandatory consumer rights you may have in your country of residence.
